Worldcoin Responsible Use License, version 1.0

Licensor: Worldcoin Foundation.

Licensed Materials: Files associated with Licensor’s designs for the Orb hardware, including specifications, CAD files, and documentation, located at https://github.com/worldcoin/orb-hardware.

Review Date: February 1st, 2025 or an earlier date specified by the Worldcoin Foundation consistent with its governance protocols and procedures.

I. Grant of Rights.

  1. The Licensor hereby grants, free of charge, to you a non-exclusive, non-transferable, non-sublicensable copyright license to use, copy, modify, distribute, sublicense, and/or sell copies of the Licensed Materials.

  2. The Licensor also grants, free of charge, to you a non-exclusive, non-transferable, non-sublicensable patent license to make, have made, use, import, and otherwise transfer the Licensed Materials, where such license applies only to those patent claims licensable by Licensor that are necessarily infringed by exercising your rights under the copyright license granted above.

  3. If you assert any patent claim against any entity alleging that the Licensed Materials constitute direct or indirect patent infringement, or if you seek any declaration that any patent licensed to you under this license is invalid or unenforceable, then any rights granted to you under this patent license and the copyright license in Section 1 above shall terminate immediately.

  4. The license grants above are made subject to the Notice Requirement and Restrictions below. Any violation of the terms of this License by you will cause your licenses to immediately terminate.

  5. By using the Licensed Materials, you agree to abide by the terms and conditions of this License.

  6. All rights not expressly granted in this License are reserved. The terms of this License do not imply the grant of any other rights.

II. Restrictions.

This License does not grant the right to, and you must not, use the Licensed Materials, or any derivative work or modification thereof:

  1. for any purpose other than to:

(a) implement and support the current iteration or any future iterations of the Worldcoin protocol, including but not limited to use in the ecosystem related to the Worldcoin protocol and applications interacting with it (e.g., World App, Worldcoin SDK, World ID, and other blockchain tools and technologies); or

(b) promote and encourage the understanding and use of, and also to foster participation from third parties who seek to support and support any aspect (technical, control, compliance or otherwise) of, the Worldcoin protocol or the current implementation and all future implementations of the Worldcoin protocol, including but not limited to protocol decentralization efforts and governance initiatives.

  1. for mass surveillance of individuals or for unlawful individual surveillance or other unlawful targeted actions, including on the basis on race, gender, sexual orientation, or religion; or

  2. in any activity or manner that violates, or supports, assists, facilitates, enables, constitutes or is otherwise deemed to be a violation of the Universal Declaration of Human Rights (https://www.un.org/en/universaldeclaration-human-rights/), the International Covenant on Civil and Political Rights (https://www.ohchr.org/en/professionalinterest/pages/ccpr.aspx), and the International Labor Organization Declaration on Fundamental Principles and Rights at Work (https://www.ilo.org/declaration/thedeclaration/textdeclaration/lang-- en/index.htm), or any local laws implementing those instruments.

III. Removal of Restrictions in Section II.1.

  1. On the Review Date, the Licensor shall, consistent with its governance protocols and procedures, review and decide whether to remove the restrictions on use specified at Section II.1 of this License.

  2. Effective on the Review Date in the event that the Licensor decides to remove the restrictions specified in Section II.1 of this License, or in any event no later than the second anniversary of the Review Date, the text of Section II.1 of the License shall be deleted in its entirety and replaced with the following: “Removed.” Sections II.2 and II.3 will remain.

IV. Notice Requirement.

This license, including above copyright notice, must be included in all copies of the Licensed Materials or its derivative works. Any physical device manufactured, sold or imported under the license granted in Section I must bear a notice stating, “Manufactured under the Worldcoin Responsible Use License, version 1.0.”

V. Disclaimer of Liability.

THE LICENSED MATERIALS ARE PROVIDED "AS IS", WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE LICENSED MATERIALS.
